Career
Much of his work has been business and real estate law; he has spent a good part of that time serving as in-house counsel for various companies. Here is his career timeline.
- 2020 to present: his own commercial law practice, Dallas. A general commercial practice. He drafts commercial leases, forms limited liability companies and updates governing documents so Texas companies stay compliant. He also resolves disputes involving real estate, trusts, landlords and tenants, and claims by government agencies. Some of this work is pro bono, for people in Dallas who would not otherwise have a lawyer.
- 2011 to 2020: General Counsel, The Equita Group, Dallas. He started working part time late 2011 and then became full time general counsel for this group of insurance marketing companies in 2012. He wrote contracts for business use as well as promissory notes and lines of credit; he supervised contracts with insurance agents, vendors and carriers and dealt with outside lawyers for litigation including federal lawsuits. In 2013 he managed an internal acquisition and change of control for his organization and later he took care of compliance for Medicare.
- 2008 to 2010: General Counsel and Human Resources Administrator, Jus-Made, LP, Dallas. Jus-Made made beverages. He redid the company's policies and contract forms, brought back or registered more than a dozen trademarks, and handled hiring and discipline. On the plant side he worked alongside QA on compliance with FDA labeling rules and HACCP.
- 2002 to 2008: commercial law practice, Dallas. Mostly deals: commercial real estate sales and leases, property development, buying and selling businesses, international distribution agreements, commercial loans. He also handled insurance claims, took probate matters and certain civil cases and acted as an impartial mediator.
- 1989 to 2002: Senior Attorney, Federal Deposit Insurance Corporation (FDIC), Dallas. The job was cleaning up after the bank and savings-and-loan failures of the 1980s. When a bank or thrift failed, the FDIC took over its real estate as receiver, and he sold it, drafting the sale and loan documents. He also supervised outside counsel and worked on litigation strategy, motion practice and discovery. Other duties: a seat on the senior credit review committee for the Southwest region, help for the Dallas Bank Fraud Task Force, and representing the FDIC at a Caribbean Financial Action Task Force conference on Internet money laundering.
- 1982 to 1989: commercial real estate law practice, Dallas. Shopping center, subdivision and office projects and commercial lending, for developers, builders, building owners and banks, with properties in Texas, Oklahoma and Louisiana.
- 1979 to 1982: Staff Attorney, PepsiCo, Inc., Frito-Lay division, Dallas. He gave advice to product managers and QA teams regarding labeling, advertising, antitrust law, trademarks and product liability. He also inspected plants to ensure compliance with FDA and USDA standards and wrote licensing and marketing agreements.
- 1977 to 1979: Staff Attorney, Block Drug Company, Inc., Jersey City, New Jersey. Regulatory matters before the FDA, EPA and OSHA, plus SEC securities work.
- 1970 to 1979: Supervising Pharmacist, Hampton Pharmacy Corporation, Brooklyn, New York.
